OFFICIAL RULES AND CONDITIONS
NO PURCHASE NECESSARY

ebrary's "Content World" ("Sweepstakes") begins at 9:00 a.m. PST on October 7, 2003 and extends through 12:00 p.m. PST on October 7, 2003 (the "Sweepstakes Period"). The Sweepstakes is produced and sponsored by ebrary, 318 Cambridge Ave, Palo Alto, CA 94306-1505 ("ebrary").
ELIGIBILITY: The Sweepstakes is open to all Content World participants who are companies located in the 50 United States and the District of Columbia, and who attend ebraryÕs workshop on October 7, 2003, and who are allowed by law to enter such a contest at the time of entry. Only individuals employed by the company and authorized to enter such a contest on its behalf shall enter on behalf of the company. Employees, officers, directors, shareholders, agents, and representatives of ebrary and its parent companies, affiliates, subsidiaries, advertising and promotion agencies, and their immediate family members and persons living in their same household are not eligible to participate in the Sweepstakes.
HOW TO ENTER: NO PURCHASE IS NECESSARY TO ENTER. You may enter the Sweepstakes in one of 4 ways: (1) by filling out a form at ebraryÕs Content World workshop, (2) by pre-registering for the workshop, (3) by sending your name, title, address, telephone number, email address and company name to info@ebrary.com with the subject header ÒContent World SweepstakesÓ, or (4) by mailing a 3x5 card upon which is printed by hand your name, title, address, telephone number, email address, company name and the words "Content World Sweepstakes" to: ebrary, Attn: Sweepstakes Entry, 318 Cambridge Ave, Palo Alto, CA 94306-1505. Mechanically reproduced entries are void. One entry per entry form. All entries become the exclusive property of ebrary, and will not be acknowledged or returned. By entering, participants agree to be bound by these Official Rules and Conditions and the decisions of ebrary, which shall be final. ebrary reserves the right to disqualify entrants who violate the Official Rules and Conditions.
PRIZES: (1) Grand Prize: at the end of the Sweepstakes Period, one company will be chosen as the Grand Prize Winner in a random drawing from all eligible entries. The Grand Prize Winner will have its choice of one of the following two prize options, subject to the Grand Price WinnerÕs agreement to abide by ebraryÕs standard Terms and Conditions for the product Option selected by the Grand Prize Winner.
Option 1 -- This prize will consist of a free year of access (for up to 5000 users) to ebraryÕs database in Computers & Technology.
Option 2 Ð This prize will consist of a free year of access (for up to 5000 users) to ebraryÕs Business & Economics database.
Odds of winning depend on the number of eligible entries received. The Prize is nontransferable. All federal, state and local taxes, fees and surcharges will be the sole responsibility of the Grand Prize Winner.
SELECTION AND NOTIFICATION OF WINNER: The winner of the Prize shall be selected in a random drawing from all eligible entries received during the Sweepstakes Period. The drawing shall occur within 10 days after the end of the Sweepstakes Period and will be conducted under the supervision of ebrary, whose decisions are final and binding. The Prize winner will be notified by email, unless they entered through mail and do not have an email address, in which case they will be notified by postal mail. In the event that any email notification is returned as undelivered, ebrary will attempt to re-send the notice up to 5 times. If any winner fails to respond to email notification within 5 business days of its transmission, or if the email notification remains undeliverable after 5 attempts, or if postal mail notification is returned as undeliverable, the prize will be forfeited and an alternate winner selected. ebrary is not responsible for and shall not be liable for late, lost, misdirected or unsuccessful efforts to notify a winner.
NOTICE: ebrary reserves the right to prosecute and seek damages against any individual who attempts to deliberately undermine the proper operation of the Sweepstakes in violation of these Official Rules and Conditions and/or criminal and/or civil law.
The Prize Winner will be required to sign and return an Affidavit of Eligibility within 10 days of acknowledged notification. Unless otherwise prohibited by law, the Prize Winner will be required to sign and return a Publicity Consent and Liability Release Agreement within 10 days of acknowledged notification. By accepting and/or using the Prize, the winning company agrees to the use of its name, without compensation, in publicity and advertising concerning ebrary. Failure to return the completed and executed Affidavit and Agreement within the time specified or to comply with any provision of these Official Rules and Conditions may, in ebrary's sole discretion, result in a winner's disqualification and forfeiture of its interest in the Prize, and the award of the Prize to an alternate winner.
The Prize winner will be required to enter into a standard ebrary contract with license fees waived and subscription dates to be agreed to between ebrary and the Prize winner.

CONDITIONS: Sweepstakes shall be governed by the laws of the United States. All applicable federal, state, and local laws and regulations apply. Void where prohibited.
ebrary and its affiliates, representatives, agents, directors, officers, shareholders and employees are not responsible for and shall not be liable for: (i) late, lost, delayed, damaged, misdirected, inaccurate, incomplete, or unintelligible entries; (ii) telephone, electronic, hardware or software program, network, Internet, computer or other malfunctions, failures, or difficulties of any kind, whether human or technical; (iii) failed, incomplete, garbled, or delayed computer transmissions; (iv) any condition caused by events beyond the control of ebrary; (v) any injuries, losses, or damages of any kind arising in connection with or as a result of the prize, or acceptance, possession, or use of the prize, or from participation in the Sweepstakes; or (vi) any printing or typographical errors in any materials associated with the Sweepstakes. ebrary reserves the right, in its sole discretion, to suspend, modify or cancel this Sweepstakes at any time if a computer virus, bug, or other technical problem or cause beyond ebraryÕs control corrupts the administration, security, or proper function of the Sweepstakes.
By participating in the Sweepstakes, participants agree to release, discharge and hold harmless ebrary and its affiliates, representatives, agents, directors, officers, shareholders and employees from any and all liability from any injures, losses, or damages of any kind arising from or in connection with the Sweepstakes or the acceptance or use of any prize.
LIST OF WINNERS: To obtain the name of the Prize winner, send a self-addressed, stamped envelope marked "ebrary Content World Sweepstakes List of Winners" to ebrary, Attn: Sweepstakes List of Winners, 318 Cambridge Ave, Palo Alto, CA 94306-1505. Requests must be received no later than 30 days following the end of the Sweepstakes Period. |
